02The legal operating entity

Emergent Marketing Inc. is the legal entity that operates the technology platform marketed under the Gatelyst brand. It is the contracting party, the entity that holds the platform’s own service-provider relationships, and the entity identified in the platform’s regulated and administrative records.

03Gatelyst as a product and service

Gatelyst is the name under which Emergent Marketing Inc. markets and delivers the platform. It is a product and service name. It is not a separate corporation, and it does not contract, hold accounts or incur obligations in its own right.

References to “Gatelyst”, “we”, “us” or “our” in the Terms of Service, the Privacy Policy and the SMS & Messaging Terms mean Emergent Marketing Inc. acting as operator of the Gatelyst platform, unless the context clearly refers to a tenant, a customer or another third party using the platform.

04Why some records name the entity and others name the brand

Because Gatelyst is a service operated by Emergent Marketing Inc. rather than a company in its own right, records of the following kinds may identify Emergent Marketing Inc. as the legal operating entity while the service itself is presented to customers as Gatelyst:

  • Contracts and commercial agreements
  • Telecommunications and messaging registrations, including registrations made with messaging providers, aggregators and carriers
  • Service-provider and vendor records
  • Payment-provider and financial-institution records
  • Tax, corporate and other compliance records
  • Insurance and other regulated relationships

This is the ordinary relationship between a corporation and a product it operates. A registration or contract naming Emergent Marketing Inc. and a public website at gatelyst.com describe the same operation.

05Businesses that use Gatelyst

Businesses that use Gatelyst are independent tenants and customers of the platform. They use it to operate their own live experiences, commerce, communications, queueing, fulfilment, customer engagement and related operations.

Nothing about using the platform makes a tenant and Emergent Marketing Inc. the same legal entity, or makes either responsible for the other’s obligations. A tenant remains responsible for its own business, its own events, its own customer relationships and its own compliance obligations.

06A tenant’s own customers

A tenant’s customers deal with the tenant. They may nonetheless encounter both names: the tenant’s brand, because that is whose experience they bought, and Gatelyst, because that is the platform the tenant runs it on.

Seeing both is expected and is intended to be informative rather than confusing. It tells a recipient which business they bought from and which service is delivering the message, the page or the ticket in front of them.

07How messages identify both

Transactional and operational communications sent through the platform may identify both the tenant and Gatelyst, so that a recipient understands why they are receiving the message and who it concerns. For example:

“[Tenant name] via Gatelyst: your ride is ready…”

Gatelyst for [Tenant name]: your merchandise is ready…”

08Who takes the money

It depends on which payment service the business has chosen, and the difference matters because it decides who the merchant of record is for a given transaction.

Their own Square or Stripe account

The business is the merchant of record. Payments settle into their own merchant account. Emergent Marketing Inc. is not party to the transaction.

Gatelyst-managed Stripe setup

The business is still the merchant of record. Gatelyst arranges the Stripe connection and the payment plumbing, and charges are created directly on the business’s own connected account. Emergent Marketing Inc. may receive a platform fee under the applicable agreement.

Gatelyst Managed Payments — merchant of record

A separate service, available only where separately agreed, eligible, configured and activated. Where it is in effect, Emergent Marketing Inc., operating Gatelyst, acts as the merchant of record for those transactions. The customer’s payment is created on the Gatelyst platform account, Emergent Marketing Inc. bears the associated processing fees, refunds and card-network chargebacks as merchant of record, and the business receives its contracted settlement share under that agreement. Additional fees and eligibility requirements apply.

This arrangement is not in effect for a business unless it has been separately agreed and activated for that business. It is not a default, it is not implied by using the platform, and it applies to no other payment service described above.

Where it does apply, the checkout, the payment receipt and the descriptor on the cardholder’s statement identify Gatelyst as the merchant of record, alongside the business and the experience being purchased. Where it does not, those same surfaces identify the business. In every case the disclosures shown at payment identify the applicable merchant of record.

Emergent Marketing Inc. is not a bank and is not a money transmitter. Regulated payment processing is performed by the applicable payment provider.

09What this page does not claim

Stated plainly, because a compliance reviewer is entitled to know the boundary of what is being asserted:

  • Gatelyst is not claimed to be a separate corporation, and does not hold a separate tax identity.
  • No fictitious-name, trade-name or "doing business as" registration is asserted on this page.
  • No approval, certification or verification by any carrier, messaging aggregator, payment provider or regulator is asserted.
  • This page is a disclosure of how the operating entity and the service brand relate. It is not a certification of anything.
